Please read these terms carefully. By accessing or using the Losers League platform in any way — whether you create an account, browse as a guest, submit content, or build a game — you agree to be bound by these terms. If you do not agree, do not use the platform.

1. About Losers League

Losers League is owned and operated by Sparvit Co dba Losers League, a Delaware corporation registered in Texas (“Losers League,” “we,” “us,” or “our”). The Platform, accessible at losersleague.com and through any associated mobile applications or other interfaces we make available (collectively, the “Platform”), is a free-to-play prediction and contest experience built around sports, entertainment, and any other real-world events that produce measurable outcomes.

The Platform serves two primary user types:

  • Creators — users who design, configure, publish, and manage prediction games and custom contests using the tools we provide.
  • Players — users who participate in those games.

These Terms of Service (“Terms”) govern all access to and use of the Platform by both Creators and Players. Creators who enter into a commercial relationship with us are also subject to a separate Creator Agreement, which supplements these Terms. By using the Platform — whether or not you have created an account — you agree to these Terms. Your use of the Platform is also subject to our Privacy Policy and our Community Guidelines, both of which are incorporated into these Terms by reference. A violation of our Community Guidelines constitutes a violation of these Terms and may result in suspension or termination of your account.

2. Eligibility

2.1 Age Tiers

The Platform operates under a tiered eligibility framework. By accessing or using any part of the Platform, you represent and warrant that you meet the applicable age requirement for the features you use:

Tier 1 — Age 13 or older (General Access): Users who are at least 13 years of age (or the minimum age required by applicable law in their jurisdiction, if higher) may access the Platform to browse content and participate in free-to-play games that do not carry a higher age restriction. If you are between 13 and the age of legal majority in your jurisdiction, you may only use the Platform under the supervision of a parent or legal guardian who has reviewed and agrees to these Terms on your behalf.

Tier 2 — Age 18 or older (Sponsored Games and Promotions): Participation in any sponsored game, promotion, or contest — whether operated by Losers League or by a Creator — that involves prizes, sweepstakes, advertiser partnerships, or other commercial elements requires that you be at least 18 years of age. Creators who set an 18+ age floor on their game are responsible for communicating that restriction to Players, and Players represent by participating that they meet it.

Tier 3 — Age 21 or older (Creator-Designated Games): Creators may designate specific games as requiring participants to be 21 years of age or older — for example, games involving alcohol-related sponsors, certain prize categories, or any other context where applicable law or sponsor requirements impose a 21+ threshold. Where a Creator sets a 21+ restriction, Players represent by entering the game that they meet that requirement. Creators are solely responsible for establishing and communicating appropriate age restrictions for their games and for ensuring those restrictions comply with applicable law.

2.2 General Eligibility Requirements

Regardless of age tier, all users must: (a) not be barred from using the Platform under any applicable law; (b) not have been previously removed from the Platform by us; and (c) provide accurate information about themselves when registering or participating in any game.

We do not knowingly permit users under 13 to register. If we discover that a user is under 13, we will promptly terminate their account and delete their information in accordance with applicable law. If you have reason to believe a user under 13 is accessing the Platform, please notify us at hey@losersleague.com.

We reserve the right to verify user eligibility at any time and to suspend or terminate access where eligibility cannot be confirmed. You are responsible for ensuring your participation complies with the laws of the jurisdiction from which you access the Platform.

3. Account Registration and Security

3.1 Creating an Account

Certain Platform features require you to create an account. You may register using an email address or by connecting a supported third-party authentication service (such as Google or Meta). By connecting a third-party service, you authorize us to receive information from that service consistent with its terms and your privacy settings. You are responsible for reviewing that third-party service’s terms separately.

You agree to provide accurate, current, and complete registration information and to keep that information updated throughout your use of the Platform. Accounts created using false information may be suspended or terminated without notice.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account — whether or not you authorized it. You may not sell, transfer, rent, share, or give access to your account to any other person without our prior written consent.

If you permit others to use your account, you take on responsibility for their actions on the Platform as if they were your own. If you believe your account has been compromised, you must notify us immediately at hey@losersleague.com. We are not liable for any loss resulting from unauthorized account access that occurs before you notify us.

3.3 Organizational Accounts

If you access the Platform on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms and that your acceptance of these Terms constitutes that entity’s agreement to them.

4. The Platform — What We Offer

4.1 Managed Games

Losers League provides a framework for prediction-based games tied to real-world events. These events may include professional and amateur sports, entertainment competitions, cultural events, and any other event that produces a measurable outcome or verifiable statistics.

4.2 Creator-Built Contests

Creators may design fully customized prediction games — including setting all questions, scoring parameters, contest rules, and game configurations — using the tools we provide. We provide the infrastructure; Creators own and are responsible for the content of their games.

4.3 Free to Play

The Platform is free to join and free to play. We do not charge Players entry fees to participate in games. Creators may not charge Players entry fees through the Platform unless they have entered into a separate written agreement with us expressly authorizing such activity.

4.4 Prizes and Sponsored Promotions

Losers League or its sponsors may periodically offer prizes, merchandise, or other rewards in connection with games or promotional events. Any such prizes are subject to separate official rules made available at the time of the relevant promotion. We make no guarantee of prizes unless expressly stated in a specific promotion’s official rules. Where a prize is offered or fulfilled by a third-party sponsor, that sponsor is solely responsible for prize fulfillment, and we make no representations regarding the sponsor’s performance.

4.5 Platform Availability

We make no guarantee that the Platform will be continuously available or free of interruptions, errors, or technical failures. Access to the Platform may be limited or suspended at any time — including for maintenance, security updates, or circumstances beyond our control — without prior notice or liability. We are not responsible for any losses resulting from Platform unavailability.

5. User Content

5.1 What User Content Means

The Platform allows users to submit various types of content, including game questions and configurations (if you are a Creator), chat messages and comments, display names, avatars, and any other material you contribute to the Platform (collectively, “User Content”). You are solely responsible for the User Content you submit.

5.2 You Own Your Content

You retain ownership of User Content you create. By submitting User Content to the Platform, you grant Losers League a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, display, reproduce, distribute, modify, adapt, and create derivative works of that User Content for the purposes of operating, improving, and promoting the Platform. This license continues even if you later delete content from the Platform, to the extent copies have already been distributed or incorporated into Platform features.

5.3 Content Standards

You represent and warrant that your User Content: (a) does not infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other rights of any third party; (b) is not unlawful, threatening, harassing, defamatory, obscene, fraudulent, or deceptive; (c) does not contain viruses, malware, or any code designed to interfere with Platform operations; (d) does not impersonate any person or entity; (e) does not constitute unsolicited commercial communications; and (f) complies with these Terms and all applicable laws.

5.4 Platform as Host, Not Publisher

Losers League is a hosting platform, not a publisher or speaker of User Content. We do not represent that we review or endorse User Content before it is posted. If you see User Content that you believe violates these Terms or applicable law, you may report it to us at hey@losersleague.com. We reserve the right — but assume no obligation — to monitor, review, edit, or remove any User Content at any time, with or without notice, if we determine in our sole discretion that it violates these Terms, applicable law, or our Community Guidelines.

5.5 Repeat Infringement Policy

We take intellectual property rights seriously. If a user repeatedly submits User Content that infringes third-party rights, we reserve the right to terminate that user’s account. This policy applies to all users, including Creators. We will act on credible reports of repeat infringement.

5.6 Copyright Infringement — DMCA Safe Harbor and Notice-and-Takedown

Losers League respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”). We operate as a hosting platform under the safe harbor provisions of 17 U.S.C. § 512, meaning we are not liable for infringing content posted by users so long as we respond to valid takedown notices in a timely manner and meet other safe harbor requirements.

Responsibility for ensuring that User Content — including all Creator game content — does not infringe third-party copyrights rests entirely with the user who submitted that content. We do not pre-screen content for copyright compliance.

If you are a copyright owner or authorized agent and believe that content on the Platform infringes your copyright, you may submit a written takedown notice to our designated Copyright Agent at:

To be valid under the DMCA, your notice must include:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered, a representative list);
  • Identification of the specific material on the Platform claimed to be infringing, with enough detail for us to locate it;
  • Your contact information, including name, mailing address, telephone number, and email address;
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, we will promptly remove or disable access to the identified content and notify the user who posted it. That user may submit a counter-notice if they believe the removal was in error. We will process counter-notices in accordance with DMCA requirements. Repeated, good-faith DMCA compliance is part of how we maintain our safe harbor status.

Submitting a materially false or bad-faith takedown notice or counter-notice may expose you to civil liability under the DMCA and other applicable law. We reserve the right to seek recovery of costs and fees associated with processing abusive notices.

6. Creators — Special Terms

6.1 Creator Role

Creators are users who build, configure, and publish prediction games on the Platform. Becoming a Creator is subject to these Terms and any additional Creator-specific policies we may publish. We reserve the right to approve, reject, or revoke Creator access at our discretion.

6.2 Creator Agreement

Creators who enter into a commercial relationship with Losers League — including any revenue-sharing arrangement or other monetization model — are required to execute a separate Creator Agreement. The Creator Agreement governs the commercial terms of that relationship and supplements (but does not replace) these Terms. In the event of a conflict between the Creator Agreement and these Terms, the Creator Agreement controls with respect to the commercial relationship.

6.3 Creator Responsibilities

Creators are solely responsible for all content, questions, rules, configurations, and materials within their games. This responsibility includes ensuring that:

  • All game content complies with these Terms, our Community Guidelines, and all applicable laws;
  • Games do not facilitate gambling, illegal wagering, or any unlawful activity in any jurisdiction where Players participate;
  • Game content does not infringe the intellectual property, privacy, or other rights of any third party, including but not limited to sports leagues, broadcasters, entertainment properties, or athletes;
  • Players are not charged entry fees through the Platform without prior written authorization from Losers League;
  • Any sponsored or branded content within a game is clearly disclosed to Players.

We are not responsible for the content of Creator games and will not be liable for any claims arising from a Creator’s failure to meet these responsibilities. If a Creator’s game gives rise to a third-party claim, the Creator agrees to indemnify Losers League as provided in Section 12.

6.4 Creator Content License

By submitting game content, questions, or other materials as a Creator, you grant Losers League the same worldwide, non-exclusive, royalty-free, sublicensable, and transferable license described in Section 5.2, for the same purposes. You represent and warrant that you own or have secured all rights necessary to grant this license.

6.5 Feedback and Suggestions

If you provide us with ideas, feedback, or suggestions about the Platform — whether as a Creator or Player — you grant us an irrevocable, royalty-free, worldwide license to use that feedback for any purpose, including incorporating it into the Platform or our products, without compensation or credit to you. You acknowledge that we receive many ideas and that suggestions you submit may be similar to ideas we are already developing independently.

7. Game Integrity and Prohibited Conduct

7.1 Platform Integrity

The fairness and integrity of Losers League games depend on all users playing within the rules. Any attempt to gain an unfair advantage, manipulate outcomes, or undermine the Platform’s systems is a serious violation of these Terms.

7.2 Prohibited Conduct

In connection with your use of the Platform, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms or our Community Guidelines;
  • Exploit bugs, glitches, or system vulnerabilities to gain an advantage in any game;
  • Manipulate game outcomes through any means, including by coordinating with other users in ways that undermine fair play;
  • Create multiple accounts to gain unfair advantages or to circumvent a suspension or ban;
  • Use automated tools, bots, scripts, or other programmatic means to access, scrape, or interact with the Platform without our express written permission;
  • Attempt to access accounts, systems, or data you are not authorized to access;
  • Interfere with or disrupt the integrity, security, or performance of the Platform or its underlying infrastructure;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Harass, threaten, intimidate, or harm other users;
  • Post spam, unsolicited commercial messages, or chain communications;
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Platform;
  • Use the Platform in any way that violates applicable export control laws or sanctions programs.

We reserve the right to investigate suspected violations and to take any action we deem appropriate, including suspending or terminating accounts, voiding game entries, withholding prizes, and referring matters to law enforcement.

7.3 Geographic and Legal Compliance

Your use of the Platform must comply with the laws of the jurisdiction from which you access it. Certain games or features may not be available in all locations. It is your responsibility to determine whether your participation is lawful where you are located. We make no representation that the Platform is appropriate or available in any particular jurisdiction.

8. Game Outcomes and Data Accuracy

Game outcomes on the Platform are determined by the real-world results of the underlying events and the rules of the applicable game. We rely on third-party data sources, official statistics providers, and publicly available information to determine results.

We do not guarantee the accuracy, completeness, or timeliness of any event data, statistics, scores, or outcome determinations displayed on the Platform. In cases where an underlying event is cancelled, postponed, disputed, or produces ambiguous results, we reserve the right to determine the appropriate resolution of affected game entries in our sole discretion, which may include voiding entries, extending scoring windows, or declaring alternate outcomes. Our determination is final.

Real-world events are outside our control. Delays, interruptions, or changes to events, game schedules, or rules by event organizers — including sports leagues, broadcasters, or entertainment producers — do not constitute a breach of these Terms.

9. Intellectual Property

9.1 Platform Content

The Platform and all content, features, and functionality provided by Losers League — including text, graphics, logos, game frameworks, software, trade dress, and the overall look and feel of the Platform — are owned by Sparvit Co or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license to use our intellectual property except as expressly set forth herein.

You may not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any Platform content without our express prior written consent, except as incidental to normal use of the Platform for its intended purpose.

9.2 Third-Party Intellectual Property

The Platform may reference or display content related to sports leagues, entertainment properties, athletes, and other third parties. All such third-party names, logos, and marks are the property of their respective owners. Losers League does not claim ownership of third-party intellectual property, and use of those marks does not imply any affiliation with or endorsement by the relevant rights holders.

Creators are responsible for ensuring their game content does not use third-party intellectual property without appropriate authorization.

10. Advertising and Sponsored Content

The Platform displays third-party advertising. Advertising may be contextually targeted based on general usage patterns. We do not sell your personal information to advertisers. Advertising content is provided by third-party ad networks; we are not responsible for the content, accuracy, or practices of those advertisements.

Creators who incorporate sponsored or branded content into their games must clearly disclose that relationship to Players within the game. Creators may not enter into any advertising or sponsorship arrangement through the Platform that conflicts with any existing commercial relationship between Losers League and a third party.

11. Third-Party Services and Links

The Platform may integrate with or link to third-party services, websites, or platforms — including social authentication providers and data services. Your use of any third-party service is governed by that service’s own terms and privacy policies, not these Terms. We have no control over, and are not responsible for, the practices, content, security, or availability of any third-party services, even where we have provided a link or integration.

If you connect a third-party account to the Platform, you authorize us to access information from that service consistent with the permissions you grant and that service’s terms. Disconnecting a third-party account does not automatically delete data already received from that service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Losers League, Sparvit Co, and their respective affiliates, officers, directors, employees, agents, contractors, and licensors (collectively, the “Losers League Parties”) from and against any and all claims, liabilities, damages, losses, costs, expenses, fines, and attorneys’ fees arising out of or relating to:

  • Your access to or use of the Platform;
  • Your User Content, including any claim that your User Content infringes the rights of a third party;
  • Your violation of these Terms;
  • Your violation of any rights of another person or entity;
  • Your violation of any applicable law;
  • Any game you create as a Creator, including any claims by Players or third parties arising from the content or operation of your game.

We reserve the right to assume exclusive control of the defense of any matter subject to your indemnification obligation, in which case you agree to cooperate with us in asserting available defenses. You may not settle any such claim without our prior written consent.

13. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, the Losers League Parties disclaim all warranties of any kind — express, implied, or statutory — including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) the Platform will operate without interruption or error; (b) the Platform will be free of viruses or other harmful code; (c) any content, data, or information obtained through the Platform will be accurate, complete, or timely; or (d) the Platform will meet your requirements or expectations.

Your use of the Platform is at your sole risk. Any reliance on game scores, statistics, rankings, or other data displayed on the Platform is at your own risk.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, the Losers League Parties shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, loss of goodwill, or other intangible losses — even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total cumulative liability to you for all claims arising from or relating to these Terms or the Platform shall not exceed one hundred U.S. dollars ($100.00) or the amounts you have paid to us in the twelve (12) months preceding the claim, whichever is greater.

The limitations in this section reflect a reasonable allocation of risk between you and us, and form an essential basis of the bargain between the parties. These limitations apply regardless of the legal theory underlying the claim.

Some jurisdictions do not allow certain liability limitations, so some of the above limitations may not apply to you.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising from them are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute by contacting us at hey@losersleague.com and giving us 60 days to address your concern. We will attempt to respond in good faith. This informal process is a prerequisite to any formal dispute resolution.

15.3 Binding Arbitration

If a dispute cannot be resolved informally within 60 days, it shall be resolved by binding individual arbitration administered by a mutually agreed arbitration provider under its applicable rules. The arbitration will be conducted in English. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

You and Losers League each agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a dispute proceeds in court rather than arbitration, you and Losers League each waive any right to a jury trial and agree that the dispute will be resolved individually.

Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm or protect intellectual property rights pending arbitration.

16. Force Majeure

We will not be considered in breach of these Terms due to any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, governmental actions, power or internet outages, cyberattacks, pandemics, epidemics, labor disputes, or failures of third-party infrastructure or data providers.

In such circumstances, we will make reasonable efforts to resume normal Platform operations as quickly as practicable.

17. Modifications to These Terms

We may update these Terms at any time. If we make material changes, we will post the revised Terms on the Platform and update the Effective Date shown at the top. For significant changes, we may also notify you by email or through an in-Platform notification.

Your continued use of the Platform after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform. We encourage you to review these Terms periodically.

18. Termination

18.1 Our Right to Terminate

We reserve the right to suspend or terminate your access to the Platform — in whole or in part — at any time and for any reason or no reason, with or without notice. Reasons may include, but are not limited to, violations of these Terms, fraudulent activity, extended inactivity, or our decision to discontinue the Platform or any feature of it.

18.2 Your Right to Terminate

You may terminate your account at any time by contacting us at hey@losersleague.com. Upon termination, your right to use the Platform ends immediately. We may retain User Content and account data as described in our Privacy Policy and as required by applicable law, even after termination.

18.3 Effect of Termination

Upon termination of your account, all licenses granted to you under these Terms will immediately terminate. Any game entries associated with your account at the time of termination may be voided at our discretion.

The following sections survive termination of these Terms for any reason: Section 5 (User Content), Section 6.4 (Creator Content License), Section 6.5 (Feedback), Section 9 (Intellectual Property), Section 12 (Indemnification), Section 13 (Disclaimers), Section 14 (Limitation of Liability), and Section 15 (Governing Law and Dispute Resolution).

19. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, Community Guidelines, and any applicable Creator Agreement, constitute the entire agreement between you and Losers League regarding the Platform and supersede all prior and contemporaneous agreements, communications, and understandings on the same subject matter.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. The parties agree to replace any invalid provision with a valid provision that achieves, as closely as possible, the original intent.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver of a specific term must be in writing and signed by an authorized representative of Losers League.

Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this provision is void. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any person or entity other than the parties to these Terms.

Relationship of the Parties. Nothing in these Terms creates or implies a partnership, joint venture, agency, employment, or fiduciary relationship between you and Losers League. You are an independent user of the Platform.
